OFFERANDUM TERMS OF SERVICE
Effective September 24, 2026 · Version 1.0
These Terms govern the Offerandum service: we build an online quote form from your price list, host it, collect the enquiries it produces and generate PDF quotes on your behalf. They cover setup, the test period, ordering, payment, use of the service, cancellation and the rights and duties of both sides.
The Service is offered to businesses and not to consumers. By ordering, you confirm that you act in the course of your business.
WHO WE ARE
- The Service is provided by Damian Krychowski, a sole proprietor registered in Poland, doing business as Offerandum, with its place of business at ul. Marii Skłodowskiej-Curie 8/22, 42-400 Zawiercie, Poland, Polish tax identification number (NIP) 6492262191, e-mail contact@offerandum.com, phone +48 732 135 562. We refer to this business as "Offerandum", "we" or "us".
- Offerandum has no entity in the United States. Your agreement is with the Polish business named above.
DEFINITIONS
- Service means everything Offerandum provides under these Terms: building your Form, hosting it, collecting Enquiries, generating PDF quotes, the Panel and the optional AI assistant.
- Customer or you means the business that orders the Service.
- Form means the online quote form we build and configure for you. It calculates a price or another result from the rules you gave us, and may let a visitor send an Enquiry, download a PDF quote and view a 3D model.
- Price List means the data and rules you give us to build the Form: rates, variants, ranges, thresholds, surcharges, minimum prices, dependencies between options and exceptions.
- Visitor means a person who uses your Form, in particular to get a quote or send an Enquiry.
- Enquiry (also called a lead) means one submission of the Form by a Visitor, regardless of how many items and parameters it contains.
- Panel means the part of the Service where your authorized users manage the Form, edit prices and parameters and work with Enquiries.
- Test Version means the Form built in the full agreed scope and made available at a test address for the Test Period.
- Test Period means the 14 days from the day we deliver the Test Version, during which you check the Form and decide whether to launch it.
- Setup Fee means the one-off fee for building one Form, the same in every Plan, charged only once you decide to launch the Form, as described in section 4.
- Plan means the subscription tier you choose: Starter, Team or Pro. Each Plan states the number of Forms, users and change packages it includes.
- Billing Period means one month or one year, depending on the billing you choose.
- Change Package means one list of changes to the logic or structure of a Form, sent to us at one time.
- Agreement means the contract between you and Offerandum made up of these Terms, your accepted order and the Data Processing Agreement.
WHAT THE SERVICE IS
- You supply the Price List and your product data. We build the Form from them. The code of the Form is written and changed only by Offerandum.
- The Form is hosted at offerandum.com/<your-name> and can also be embedded on your own website as a widget. Both ways are included; you choose which to use.
- In the Panel you edit the prices and parameters that the Form exposes, without limit and without waiting for us. Changes to the logic or structure of the Form, such as a new field, rule, product variant or dependency between options, are made by us as Change Packages, in the number and turnaround your Plan states.
- The Form collects Enquiries and delivers them to you by e-mail and in the Panel, generates a PDF quote on your behalf and sends it to the Visitor and to you.
- The Form may include an AI assistant that helps a Visitor fill in the fields and answers questions about the Form. The assistant does not know your prices and does not calculate; the quote always comes from the rules of the Form. You can switch the assistant off in the Panel at any time.
- The Panel shows usage statistics for the Form: how many Visitors opened it, how far they got, which fields they changed and where they came from. Statistics are counts only; no value a Visitor typed is ever stored in them.
- 3D models from our library are available in every Plan. Models made to order are included in the number your Plan states; further models and complex models are quoted separately, and work starts only after you accept the scope, price and timeline.
- The Service is a business-to-business tool. We are not a party to any contract between you and your customers and make no commitment on your behalf.
SETUP, DELIVERY AND THE TEST PERIOD
- A conversation, a demonstration on sample forms and sending us your Price List are free and do not oblige you to order.
- Work on your Form starts when we have received your order and a complete Price List. Nothing is charged before you decide to launch the Form. The Setup Fee is $299 per Form. With yearly billing, the Setup Fee for the first Form of the subscription is waived; each further Form is charged the Setup Fee.
- Your Price List is complete when it contains everything needed to reproduce the agreed pricing rules. If the material is incomplete or inconsistent, we tell you what is missing or needs clarifying, and the clock in the next paragraph starts when we have it.
- We deliver the Test Version within 48 hours of receiving the complete Price List and your order, whichever is later. The 48 hours run on business days in Poland; material or an order that arrives on a Friday after 4 p.m. Central European Time, on a weekend or on a Polish public holiday counts as received at 9 a.m. on the next business day.
- If your Price List goes beyond what your chosen Plan covers, we tell you before accepting your order which Plan covers it or what additional work and price are needed.
- The Test Version contains the full agreed scope and lives at a test address for the Test Period. The test address is for you to check the Form; it is not meant to collect Enquiries from your customers.
- You check the Test Version against examples from your own offer and tell us about anything that is wrong. We fix errors in the agreed scope at no charge.
- If, before the Test Period ends, you tell us that you are not launching the Form, or you do not decide to launch it by the end of the Test Period, no Setup Fee is due and you owe nothing for the setup, no reason needed. We may then switch the Test Version off. Once the Form is launched, the Setup Fee is not refundable on the ground of cancellation.
- The end of the Test Period does not start a subscription. The Form is launched, and the paid subscription begins, only when you tell us to launch it.
- The delivery deadline applies to the Test Version. It is not a deadline for later changes, for your approval or for the launch. Extending the agreed scope may need a separate timeline for the extra work.
ORDERING AND START OF THE SUBSCRIPTION
- Sending a contact form, receiving a Plan recommendation, asking for a demonstration, creating an account or asking for a Form from the Panel is not an order. You order the setup by accepting our offer in the order form or by e-mail, and you order the subscription by deciding to launch the Form. The Setup Fee becomes due only with your decision to launch.
- Before you order, we show you the scope, the Plan, the total price including any tax we must collect, the Billing Period, how renewal works and how to cancel.
- The Agreement is concluded when you receive our e-mail confirming your order. The confirmation states at least the Plan, the price, the Billing Period and the agreed scope. We send you these Terms and the accepted order in a form you can keep.
- The Form is launched for your customers after you decide to launch it and we have received the payment for the first Billing Period. The first Billing Period starts on the day of the launch. The Test Period is not charged.
ACCOUNT AND ACCESS
- Access to the Panel is given to the people you name. You provide a valid e-mail address for each of them and keep your contact details up to date.
- A company may create an account itself with the sign-up form, also before it orders. The account is created once the e-mail address is confirmed by a link or by signing in with Google. Such an account is free and is not an order. It gives no published Form. It lets you see example Forms with your company's details and ask us to prepare a Form. We may delete such an account, in particular when the details given are false. An account without an Agreement that nobody has signed in to for 12 months is deleted together with its data.
- Users sign in with a one-time e-mail link or with Google. Google sign-in creates an account only when it was started from the sign-up form, and it never gives access to a company that already has an account. Having an e-mail address or a Google account does not by itself give any right to your company's data.
- Google sign-in is optional and also subject to Google's terms. We use it only to confirm identity; we get no access to Google mail, contacts or files. Connecting or disconnecting Google requires a recent sign-in and ends other sessions of the account.
- Sessions expire after a set time and after inactivity. A user can sign out of the current device or all devices. Removing a user's rights or blocking the account ends their access.
- You tell us promptly when a person should lose access. If you lose access to your e-mail and recovery methods, contact us; restoring access requires us to verify identity and authority to act for your company.
- You keep your e-mail and account credentials secure, do not share them with unauthorized people and use up-to-date software. You tell us promptly if you suspect unauthorized access or any other security incident. We never ask for your e-mail password or passwords to third-party sign-in providers.
- To use the Service you need a device with internet access and a current, supported browser with JavaScript enabled. 3D models need a device and browser that support modern web graphics. PDF quotes need software that opens PDF files.
FAIR USE
- The fair use threshold is 5,000 Enquiries per account per calendar month, unless we agree otherwise with you. Enquiries from all Forms of the same account are added together.
- Form views, field changes, price recalculations, downloads of an existing PDF and technical calls do not count. Recognized spam, duplicates caused by a technical error and test submissions agreed with us do not count either.
- The threshold is a fair use rule, not a technical limit. Exceeding it does not switch off the Form, reject further Enquiries or add any charge. A one-off spike, for example from a campaign, changes neither your Plan nor your price.
- If you exceed the threshold in two consecutive calendar months, we contact you to agree terms for the higher volume. Any change of price or terms needs your agreement; nothing is charged retroactively, and the terms of a paid Billing Period, including a paid year, are not changed because of volume.
- If we cannot agree terms for a regularly higher volume, we may decline to renew the Agreement for the next Billing Period. We tell you by e-mail at least 30 days before the end of the current period, and until then the Service continues unchanged.
ACCEPTABLE USE
- You may not use the Service unlawfully, upload unlawful content, run unauthorized load tests, circumvent security measures or generate artificial traffic that could disrupt the infrastructure.
- The Form is meant for ordinary contact and quote data. Do not configure fields to collect passwords, payment card numbers, identity documents, health data or other sensitive categories of personal information.
- You must hold the rights and permissions needed for the logo, photos, descriptions and other material you give us. If a third party claims that your material infringes its rights, we work with you to clarify the matter.
- We use proportionate protection against spam, bots, attacks and other abuse. These measures are not used to get around the fair use rule above.
PLANS, PRICES AND PAYMENT
- Prices are in US dollars. The subscription is:
- Starter: $99 per month or $990 per year;
- Team: $249 per month or $2,490 per year;
- Pro: $499 per month or $4,990 per year.
- A yearly price is a prepayment for 12 months. Change Packages beyond your Plan, additional Forms and made-to-order 3D models are quoted before the work starts and are not charged without your acceptance.
- Prices do not include sales tax. Where we are required to collect sales tax or a similar tax on the Service, we add it to the price and show it before you pay. You are responsible for any other taxes that apply to your purchase.
- You pay by card through Stripe. Stripe, Inc. is the payment processor; Offerandum never sees your full card number. The Setup Fee and the first Billing Period are charged together, through a payment link we send once you decide to launch the Form, before the launch. The subscription is then charged at the start of each Billing Period, and renewals are charged automatically to the card on file until you cancel.
- We issue invoices for every payment, based on the billing details you give us.
- If a payment fails or is not made when due, we tell you and give you at least 14 days from that notice to pay. If the payment is still outstanding after those 14 days, we may suspend the Service or terminate the Agreement. Suspension for non-payment is not related to the fair use rule.
- These are founding prices. We may change them with at least 30 days' notice by e-mail. A price change applies from your next renewal after the notice period; it never changes the price of a Billing Period you have already paid. If you do not want to continue at the new price, cancel before the renewal.
- We do not adjust prices for individual customers by automated decision-making. The terms of any discount or promotion are stated with that offer.
RENEWAL AND CANCELLATION
- The subscription renews for successive Billing Periods of the same length, monthly or yearly, until cancelled.
- You can cancel at any time before a renewal, in the Panel or by e-mail to contact@offerandum.com. A cancellation by e-mail is effective when it reaches us, and we confirm it.
- Cancellation takes effect at the end of the paid Billing Period. You keep access until then. We do not refund subscription fees for the remainder of a paid period, including the unused part of a paid year.
- The rule above does not affect refunds that follow from a justified complaint, our failure to provide the Service, an overpayment or a double charge, or from section 4 (the Setup Fee).
- Before a yearly renewal we send a reminder to your e-mail address at least 14 days in advance, with the renewal date, the amount and how to cancel.
- A change of Plan takes effect from the next Billing Period unless we expressly agree an earlier change and how to settle it.
- Not using the Form, removing it from your website or stopping traffic to it is not a cancellation. Only a clear cancellation notice ends the renewal.
YOUR PRICE LIST, RESULTS AND PDF QUOTES
- You are responsible for the accuracy of the rates, product descriptions, pricing rules and other material you give us, and for their compliance with law and with your own offer. We are responsible for building what we agreed and for reproducing your rules correctly.
- The result of the Form depends on what the Visitor enters and on the rules configured. The Form does not replace measurements, site visits, technical assessment or consultation where these are needed for your product or service.
- You decide whether the result is an estimate or a firm price for the stated scope, and you word the Form accordingly. The legal effect of a PDF quote follows from its content, the circumstances and applicable law.
- 3D visualizations are for presentation. They are not construction documentation, an engineering drawing or a confirmation that a chosen variant can be built.
- We do not guarantee any number of Enquiries, any sales or any financial result. How well the Form performs also depends on your offer, the traffic on your website and how you handle the Enquiries you receive.
AVAILABILITY AND SUPPORT
- We provide the Service with professional care and take appropriate steps to keep it secure and working.
- Uptime is provided on a best-effort basis. The Agreement does not include a service level agreement or an uptime percentage. This does not exclude our responsibility for failing to provide the Service.
- Maintenance, updates and repairs may require short interruptions. We announce significant planned interruptions in advance where we can and keep them as short as possible.
- We give a first reply to a support or contact request within 24 hours. This is a reply time, not a time to finish a change, fix every fault or close a complaint.
- We are not responsible for problems caused solely by incorrect data you gave us, by unauthorized changes made outside Offerandum or by a failure of your own infrastructure, to the extent we did not contribute to them.
OWNERSHIP AND LICENSE
- You own your Price List, your photos, your logo, your other material and your Enquiries. We use them only to provide the Service: to build, host and display the Form and to generate documents.
- Offerandum owns the software, the Service, the code of the Form, the templates and our other material. The Agreement does not transfer any of these rights to you.
- For as long as you are subscribed, you have a non-exclusive license to use the Form, the Panel and the other functions of your Plan for your business: to present your offer, quote your products and services and collect Enquiries.
- You may give your customers the PDF quotes and other documents generated under the Agreement, and you may keep and use documents generated during the Agreement after it ends.
- The license does not include the source code of the Service, self-hosting the software or reselling access to the Service as your own platform, unless we agree otherwise in writing.
- You may export your Enquiries from the Panel as a CSV file at any time during the Agreement and during the export window after it ends (section 17).
- Rights to elements made to order for you, including 3D models, are governed by the Agreement. Unless we agree a transfer or a wider license, you use them as part of the Service.
CONFIDENTIALITY
- We keep confidential the non-public information you give us in connection with the Agreement, including your non-public pricing rules and commercial information. We share it only with people and providers who take part in providing the Service, to the extent needed and under confidentiality obligations.
- This does not apply to information that is lawfully public, to information you intend the Form to show to Visitors, or to disclosures required by law or by a competent authority.
PERSONAL DATA
- Offerandum is established in the European Union and processes personal data under the EU General Data Protection Regulation (GDPR), regardless of where you are.
- For the personal data in Enquiries, you are the controller and Offerandum is the processor. This processing is governed by the Data Processing Agreement, with its annexes: the list of subprocessors and the security measures. You accept the DPA together with these Terms.
- For the data of your account, your users, your contacts with us and billing, Offerandum is the controller. Our Privacy Policy describes that processing.
- You are responsible for the legal basis on which you collect Visitors' data, for informing Visitors about it and for obtaining any consent your law requires. The Form can display your privacy notice and consent wording; using Offerandum does not replace these duties.
LIMITATION OF LIABILITY
- We are liable for failing to perform, or improperly performing, the Agreement under applicable law and these Terms.
- Our total liability to you for damages arising from or related to the Agreement is limited to actual, direct damage and, in total, to the subscription fees you paid to us in the 12 months before the event giving rise to the claim. We are not liable for lost profits, lost revenue or other indirect or consequential loss.
- These limitations do not apply to damage caused intentionally or by gross negligence, or where mandatory law does not allow them.
- A cyberattack, a provider outage or another external event does not by itself exclude our liability; what matters is the cause of the event and whether we acted with due care.
SUSPENSION AND TERMINATION
- We may restrict access to the Service where this is necessary to stop unlawful use, a serious security threat or a material breach of the Agreement. Restrictions are proportionate and limited to what is needed.
- Where the nature of the breach allows, we first ask you to stop the breach or remedy its effects within a set time. We may act immediately when waiting could expose data, infrastructure or other people to significant risk, or when the law requires it.
- We tell you the reason and the scope of a restriction, unless doing so is legally prohibited or would seriously hinder dealing with a security threat.
- We may terminate the Agreement for non-payment as described in section 9 (at least 14 days after our notice), and for a material breach that you have not remedied within the time we set.
- We may decline to renew the Agreement for an important reason, such as discontinuing this kind of Service, a lasting inability to provide it or no agreement on a regularly higher volume. We tell you by e-mail at least 30 days before the end of the Billing Period after which the Agreement ends.
- If we stop providing a paid Service before the end of a Billing Period for reasons you are not responsible for, we refund the part of the fee for the remaining period.
- When the Agreement ends, the Form and the subscription functions are switched off. For 30 days after the end, your Enquiries remain available in the Panel for export only; you may also ask us for an earlier deletion. After that we delete them as the Data Processing Agreement describes. Suspension for non-payment limits changes in the Panel but keeps reading, export and deletion of your data available.
CHANGES TO THE SERVICE AND TO THESE TERMS
- We update the Service to fix errors, keep it secure, comply with law and keep up with current technology. We may add functions.
- We change these Terms only for a good reason, such as a change in law, a decision of a competent authority, a change in how the Service is provided for technical or security reasons, a change of payment methods or a new function. The scope of a change matches its reason.
- We notify you of a change that affects your current Agreement by e-mail at least 30 days before it takes effect, stating what changes, why, the effective date and your rights. A shorter notice is used only where mandatory law or an urgent security fix requires it. If you do not accept a change, you may cancel before it takes effect.
- Changes are never charged retroactively and do not change the price of a Billing Period you have already paid.
- A change of these Terms does not limit rights you have already acquired or claims that arose before the change took effect.
COMPLAINTS AND CONTACT
- The main way to reach us is e-mail: contact@offerandum.com. You can also call +48 732 135 562 or write to Damian Krychowski, ul. Marii Skłodowskiej-Curie 8/22, 42-400 Zawiercie, Poland.
- Send complaints to the same e-mail address or postal address. It helps if you include details that identify your account, a description of the problem, when it occurred, what outcome you expect and your contact details, but a complaint is valid without them.
- We answer a complaint without undue delay and no later than 14 calendar days after receiving it, by e-mail or another form you can keep.
GOVERNING LAW AND DISPUTES
- The Agreement is governed by the laws of Poland. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
- Any dispute arising from or related to the Agreement is decided by the Polish court competent for the seat of Offerandum. Before going to court, both sides try to settle the dispute by correspondence.
- Nothing in these Terms limits rights that mandatory law grants you and that cannot be excluded by agreement.
FINAL PROVISIONS
- The Agreement is concluded in English. This English text governs the Agreement between you and Offerandum; the Polish terms of service are a separate document for customers in Poland.
- These Terms, your accepted order and the Data Processing Agreement with its annexes are the entire agreement between you and Offerandum on the Service and replace any earlier arrangements on the same subject.
- You may not assign the Agreement without our written consent. We may assign the Agreement, together with the Data Processing Agreement, to a successor of the Offerandum business, in particular to a company to which the Offerandum business is contributed or sold; by concluding the Agreement you consent to that. The assignment changes nothing in the scope of the Service, the price, the Billing Period or the other terms, and your acquired rights and any claims that arose before it stay in force. We tell you on a durable medium at least 30 days before the assignment takes effect, naming the new provider and its details.
- If any provision of these Terms is invalid or unenforceable, the remaining provisions stay in force to the extent the law allows, and the applicable law takes the place of the invalid provision.
- These Terms are available free of charge on our website in a form you can download, save and print. The version we sent you when the Agreement was concluded applies to your Agreement, together with any later changes made under section 18.
Thank you for reading these Terms.
